Scope of Application<\/strong><\/h2><p data-start=\"626\" data-end=\"918\">These Terms and Conditions (T&amp;Cs) apply to all contracts between <strong data-start=\"691\" data-end=\"707\">Sencutt e.K.<\/strong> (hereinafter referred to as the \u201cProvider\u201d) and its customers (hereinafter referred to as the \u201cClient\u201d) for the provision of services in the areas of <strong data-start=\"858\" data-end=\"875\">Video Editing<\/strong> as well as <strong data-start=\"887\" data-end=\"915\">Web Design &amp; Development<\/strong>.<\/p><p data-start=\"920\" data-end=\"1044\">These T&amp;Cs apply to both business clients (\u00a714 BGB, B2B) and consumers (\u00a713 BGB, B2C), unless explicitly stated otherwise.<\/p><p data-start=\"920\" data-end=\"1044\">\u00a0<\/p><h2 data-start=\"1051\" data-end=\"1083\"><strong data-start=\"1054\" data-end=\"1083\">2. Conclusion of Contract<\/strong><\/h2><p data-start=\"1085\" data-end=\"1203\">The contract is concluded exclusively through a written offer made by the Provider and its acceptance by the Client.<\/p><p data-start=\"1205\" data-end=\"1285\">Verbal side agreements or amendments require written confirmation to be valid.<\/p><p data-start=\"1287\" data-end=\"1363\">The Provider reserves the right to decline offers without stating reasons.<\/p><p data-start=\"1287\" data-end=\"1363\">\u00a0<\/p><h2 data-start=\"1370\" data-end=\"1403\"><strong data-start=\"1373\" data-end=\"1403\">3. Description of Services<\/strong><\/h2><p data-start=\"1405\" data-end=\"1491\">The Provider performs creative and technical services, including but not limited to:<\/p><ul data-start=\"1492\" data-end=\"1651\"><li data-start=\"1492\" data-end=\"1533\"><p data-start=\"1494\" data-end=\"1533\"><strong data-start=\"1494\" data-end=\"1531\">Video editing and post-production<\/strong><\/p><\/li><li data-start=\"1534\" data-end=\"1651\"><p data-start=\"1536\" data-end=\"1651\"><strong data-start=\"1536\" data-end=\"1564\">Web design &amp; development<\/strong>, including planning, design, implementation, and technical customization of websites<\/p><\/li><\/ul><p data-start=\"1653\" data-end=\"1726\">The exact scope of services is defined in the respective written offer.<\/p><p data-start=\"1728\" data-end=\"1840\">Any modifications or additional services that go beyond the originally agreed scope will be billed separately.<\/p><p data-start=\"1728\" data-end=\"1840\">\u00a0<\/p><h2 data-start=\"1847\" data-end=\"1875\"><strong data-start=\"1850\" data-end=\"1875\">4. Client Obligations<\/strong><\/h2><p data-start=\"1877\" data-end=\"2022\">The Client must provide all necessary content, files, text, logos, access data, or other materials required for the project in a timely manner.<\/p><p data-start=\"2024\" data-end=\"2127\">If the Client fails to cooperate and this causes delays, delivery times will be extended accordingly.<\/p><p data-start=\"2129\" data-end=\"2279\">The Client is solely responsible for ensuring that all materials provided are free from third-party rights (in particular copyrights or trademarks).<\/p><p data-start=\"2129\" data-end=\"2279\">\u00a0<\/p><h2 data-start=\"2286\" data-end=\"2320\"><strong data-start=\"2289\" data-end=\"2320\">5. Prices and Payment Terms<\/strong><\/h2><p data-start=\"2322\" data-end=\"2386\">All prices are individually specified in the respective offer.<\/p><p data-start=\"2388\" data-end=\"2494\">Unless otherwise agreed, invoices are payable <strong data-start=\"2434\" data-end=\"2472\">within 14 days of the invoice date<\/strong>, without deduction.<\/p><p data-start=\"2496\" data-end=\"2610\">For larger projects, the Provider may require an <strong data-start=\"2545\" data-end=\"2564\">advance payment<\/strong>; the amount will be specified in the offer.<\/p><p data-start=\"2612\" data-end=\"2736\">If the Client is in default of payment, the Provider may charge <strong data-start=\"2676\" data-end=\"2722\">default interest of 5% above the base rate<\/strong> (\u00a7288 BGB).<\/p><p data-start=\"2612\" data-end=\"2736\">\u00a0<\/p><h2 data-start=\"2743\" data-end=\"2776\"><strong data-start=\"2746\" data-end=\"2776\">6. Delivery and Acceptance<\/strong><\/h2><p data-start=\"2778\" data-end=\"2863\">Delivery is provided digitally, usually via cloud systems or secure download links.<\/p><p data-start=\"2865\" data-end=\"2988\">The service is considered accepted unless the Client submits a justified written complaint within <strong data-start=\"2963\" data-end=\"2973\">7 days<\/strong> of delivery.<\/p><p data-start=\"2990\" data-end=\"3140\">The Provider undertakes to perform all agreed services to the best of its knowledge, in accordance with industry standards and with the utmost care.<\/p><p data-start=\"2990\" data-end=\"3140\">\u00a0<\/p><h2 data-start=\"3147\" data-end=\"3183\"><strong data-start=\"3150\" data-end=\"3183\">7. Ownership and Usage Rights<\/strong><\/h2><p data-start=\"3185\" data-end=\"3288\">Upon full payment, all ownership and usage rights to the final product are transferred to the Client.<\/p><p data-start=\"3290\" data-end=\"3474\">The Provider reserves the right to use completed works for <strong data-start=\"3349\" data-end=\"3385\">portfolio and reference purposes<\/strong> (e.g., on its website or social media) unless the Client expressly objects in writing.<\/p><p data-start=\"3476\" data-end=\"3596\">The transfer of open project files (e.g., After Effects, Premiere, or web source files) requires a separate agreement.<\/p><p data-start=\"3476\" data-end=\"3596\">\u00a0<\/p><h2 data-start=\"3603\" data-end=\"3635\"><strong data-start=\"3606\" data-end=\"3635\">8. Liability and Warranty<\/strong><\/h2><p data-start=\"3637\" data-end=\"3739\">The Provider is liable only for damages resulting from <strong data-start=\"3692\" data-end=\"3736\">intentional or grossly negligent conduct<\/strong>.<\/p><p data-start=\"3741\" data-end=\"3920\">For slight negligence, liability applies only in the event of a breach of essential contractual obligations (cardinal duties), and is limited to the foreseeable, typical damage.<\/p><p data-start=\"3922\" data-end=\"4034\">The Provider is not liable for indirect damages, loss of profit, or data loss, to the extent permitted by law.<\/p><p data-start=\"4036\" data-end=\"4147\">In the case of justified complaints, the Provider has the right to <strong data-start=\"4103\" data-end=\"4125\">rectify or replace<\/strong> the defective work.<\/p><p data-start=\"4036\" data-end=\"4147\">\u00a0<\/p><h2 data-start=\"4154\" data-end=\"4200\"><strong data-start=\"4157\" data-end=\"4200\">9. Right of Withdrawal (Consumers Only)<\/strong><\/h2><p data-start=\"4202\" data-end=\"4347\">Consumers have a statutory <strong data-start=\"4229\" data-end=\"4263\">right of withdrawal of 14 days<\/strong> if the contract was concluded online or outside the Provider\u2019s business premises.<\/p><p data-start=\"4349\" data-end=\"4521\">The right of withdrawal expires prematurely if the Provider begins performance of the agreed service with the Client\u2019s explicit consent before the withdrawal period ends.<\/p><p data-start=\"4349\" data-end=\"4521\">\u00a0<\/p><h2 data-start=\"4528\" data-end=\"4554\"><strong data-start=\"4531\" data-end=\"4554\">10. Data Protection<\/strong><\/h2><p data-start=\"4556\" data-end=\"4795\">The Provider processes personal data exclusively in accordance with the <strong data-start=\"4628\" data-end=\"4676\">EU General Data Protection Regulation (GDPR)<\/strong>.<br data-start=\"4677\" data-end=\"4680\" \/>The Privacy Policy can be found at:<br data-start=\"4715\" data-end=\"4718\" \/>\ud83d\udc49 <a class=\"decorated-link cursor-pointer\" target=\"_new\" rel=\"noopener\" data-start=\"4721\" data-end=\"4793\">www.sencutt.com\/privacy-policy<\/a><\/p><p data-start=\"4556\" data-end=\"4795\">\u00a0<\/p><h2 data-start=\"4802\" data-end=\"4829\"><strong data-start=\"4805\" data-end=\"4829\">11.
